These Terms govern your use of LoafBase, a Canadian bilingual platform that gives animal shelters and rescues software to run their operations and gives the public an adopter marketplace to browse animals and apply to adopt. By creating an account or using the service, you agree to these Terms. If you use LoafBase on behalf of a shelter, rescue, or other organization, you represent that you have authority to do so and you agree to these Terms on its behalf.
The service
LoafBase provides shelter-management tools (such as animal records, adoption applications, scheduling, donations, and team management) and a public adopter marketplace where people can browse animals, save favourites, message shelters, and apply to adopt. The service is offered in English and French. We are continually improving LoafBase and may add, change, or remove features over time.
Accounts and eligibility
You are responsible for keeping your account credentials confidential and for activity that happens under your account. Please provide accurate information and keep it current, and let us know promptly if you suspect unauthorized use. Adopter accounts are intended for adults, and adopters must meet the applicable minimum adoption age; we may verify eligibility. You may not create an account using someone else's identity or share your account in a way that puts personal information at risk.
Shelter responsibilities
Shelters and rescues are responsible for the accuracy of their listings and records, for having the right to publish the content and images they upload, and for handling adopter, applicant, and donor personal information lawfully. As the controller of that information, a shelter is responsible for obtaining any consents its own activities require, for responding to privacy requests from the people it serves, and for using LoafBase in line with applicable law. LoafBase acts as the shelter's processor for that information and follows the shelter's instructions.
Acceptable use
Please use LoafBase responsibly. Do not misuse the service, attempt to breach security or bypass tenant isolation, access data belonging to another organization, scrape or harvest others' information, submit fraudulent or misleading adoption applications, upload unlawful or infringing content, interfere with the service's operation, or use LoafBase for any unlawful purpose. We may suspend or terminate access that violates these Terms or that puts other users or their data at risk.
Content and intellectual property
You keep the rights to the content you submit, such as animal photos, records, and application answers, and you grant LoafBase the licence needed to host, display, and process that content to operate and improve the service. You are responsible for having the rights to the content you upload. LoafBase, including its software, design, and branding, remains our property, and nothing in these Terms transfers our intellectual property to you.
Adopter applications and agreements
When you apply to adopt, you agree to provide accurate information, and the shelter, not LoafBase, decides whether to approve an application. Where an adoption agreement is signed electronically through LoafBase, your electronic signature is intended to be legally binding to the same extent as a handwritten signature under applicable Canadian electronic-signature law, and you consent to signing and receiving related records electronically. The adoption relationship is between you and the shelter; LoafBase provides the tools, not the adoption decision.
Fees
During early access, current plans are offered free of charge while we build out the platform with our first shelters. If we introduce paid plans in the future, we will describe the pricing (in Canadian dollars) and the terms before they apply to you, and we will give you notice so you can decide whether to continue. Using the service during early access does not entitle you to free access indefinitely once paid plans launch.
Disclaimers and limitation of liability
The service is provided "as is" and "as available" to the extent permitted by law, without warranties of any kind. LoafBase is a tool that supports shelters and adopters; we are not a party to any adoption and are not responsible for the decisions, conduct, or records of shelters or adopters. To the maximum extent permitted by law, LoafBase is not liable for indirect, incidental, special, or consequential damages, and our total liability is limited to the extent permitted by law. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. (Confirm exact wording with counsel.)
Governing law
These Terms are governed by the laws of the Province of (province) and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the jurisdiction of the courts located in that province for any dispute arising from these Terms or your use of the service, except where applicable law provides otherwise.
Changes
We may update these Terms from time to time. When we make material changes, we will post the updated Terms here with a new date and, where appropriate, notify you. Your continued use of the service after a change takes effect means you accept the updated Terms; if you do not agree, please stop using the service.
